Who is a foreign seller under FIRPTA?

FIRPTA applies when a foreign person disposes of a U.S. real property interest. The IRS definition includes a nonresident alien individual and certain foreign corporations, partnerships, trusts and estates; it does not include a resident alien individual. Foreign citizenship, a foreign mailing address or immigration label alone does not settle the federal tax classification.

Before selling Reno property as a foreign owner, have a qualified tax professional evaluate U.S. federal tax residency, entity ownership, elections, joint ownership and the specific transfer. Review the IRS FIRPTA definitions and IRS FIRPTA withholding overview.

General 15% withholding and the $800,000 example /

The general FIRPTA rate is 15% of the amount realized. The amount realized is usually based on the gross sales price and can also include other property transferred and liabilities assumed or taken subject to. It is not calculated from the seller’s expected profit or net proceeds.

$800,000 × 15% = $120,000 of general withholding. That amount is held for federal tax administration; it does not prove the seller’s gain or final tax. The buyer is generally the withholding agent even when escrow or the closing company handles the funds and forms.

When a buyer-residence transaction may use 10% or 0% / 買方自住交易

If the buyer acquires the property for qualifying use as a residence and the amount realized is more than $300,000 but not more than $1 million, the withholding rate is generally 10%. For that qualifying treatment, an $800,000 sale would generally produce $80,000 of withholding instead of $120,000.

The no-withholding exception for an amount realized of $300,000 or less also requires qualifying residence plans. The buyer or a family member must have definite plans to reside at the property for at least 50% of the days it is used by any person during each of the first two 12-month periods; vacant days are not counted. An investment purchase generally does not qualify for these residence reductions. Read the IRS residence exception and current Form 8288 instructions.

Form 8288-B: requesting reduced withholding /

An eligible foreign seller may apply for an IRS withholding certificate using Form 8288-B when reduced or eliminated withholding is appropriate. Submit a complete application early enough for the closing team and tax adviser to plan around IRS processing.

Filing Form 8288-B is not approval and does not automatically eliminate the withholding obligation. The IRS instructions say the buyer must still withhold while an application is pending, although remittance timing may be delayed until the IRS mails a certificate or denial. If the certificate reduces rather than eliminates withholding, Form 8288 remains required with the certificate. See the IRS Form 8288-B page and Form 8288 instructions.

Withholding, the U.S. return and claiming credit /

FIRPTA withholding is not necessarily the seller’s final U.S. income tax. A foreign seller may need to file the appropriate U.S. income tax return and attach or substantiate Form 8288-A to claim credit for the amount withheld. The final result depends on basis, gain, deductions, entity status and other facts.

The IRS may refund an overpayment after the applicable return is filed and processed, but this page does not promise a refund amount or timing. Keep the sales contract, Closing Disclosure or settlement statement, Forms 8288 and 8288-A, withholding certificate correspondence and taxpayer-identification records. See the IRS guidance on reporting and paying tax on U.S. real property interests.

Foreign-seller FAQ /

Does foreign citizenship automatically make a Reno seller a foreign person for FIRPTA?

No. FIRPTA uses federal tax classifications. A resident alien individual is not included in the IRS definition of foreign person. Tax residency, entity type, elections and transaction facts require professional verification.

Is 15% always withheld from a foreign seller?

No. Fifteen percent is the general rate, but a qualifying buyer residence purchase may use 10% when the amount realized is more than $300,000 and not more than $1 million. A qualifying purchase at $300,000 or less may require no withholding. Other exceptions or an IRS withholding certificate may also affect the result.

Can Form 8288-B reduce the amount withheld?

An eligible seller may apply for an IRS withholding certificate to reduce or eliminate withholding. Filing is not approval and does not by itself remove the obligation to withhold while the application is pending.

Is FIRPTA withholding the seller’s final U.S. tax?

Not necessarily. A foreign seller may need to file a U.S. income tax return and claim credit for the amount withheld. Final tax depends on the return, basis, gain, deductions and other facts.
